Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.
On July 21, 2009, Kazumasa Kusaka, who has served as a member of the Board of
Directors of Molex Incorporated (the "Company") since May 2007, notified us that
he is resigning from the Board, effective July 31, 2009. Mr. Kusaka is resigning
due to a change in his principal occupation. Upon Mr. Kusaka's resignation, the
Board, in accordance with the Company's Bylaws, will fix the size of the Board
at 12 and the number of directors in Class II at three.
