Item 2.02. Results of Operations and Financial Condition.

On July 24, 2009, the Registrant issued a press release announcing its financial results for the second quarter ending June 30, 2009. A copy of the press release is attached as Exhibit 99.1 hereto and incorporated herein by reference.

In addition to financial results determined in accordance with generally accepted accounting principles ("GAAP"), the press release also contains financial information determined by methods other than in accordance with GAAP. The Registrant's management believes that the inclusion in the press release of the three non-GAAP financial measures of tangible book value per share, return on average tangible common equity and the tangible common equity to tangible assets ratio, together with the accompanying reconciliations, provides a more complete understanding of factors and trends affecting the Registrant's business and allows investors to view performance in a manner similar to management, the entire financial services sector, bank stock analysts and bank regulators.
