Change in Directors or Principal Officers

Items 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. Thomas A. McDonnell resigned as member of the Board of Directors of Blue Valley Ban Corp. (the "Company"), effective immediately. Mr. McDonnell's decision to resign was not a result of a disagreement with the Company, known to an executive officer of the Company, on any matter relating to the Company's operations, policies or practices.
The Company's subsidiary, Bank of Blue Valley, announced on Friday, July 17, 2009, that it has terminated one of its named executive officers, Sheila Stokes, as a result of changes made in the retail division.
