(a) Appointment of Chairman of the Board of Directors.

On July 17, 2009, the Board of Directors of the Company appointed Keith Witter, to the position of Chairman of the Board. Mr. Witter has served as a director of the Company since April 2003 and as Lead Director since October 2006.
