(b) Director Retirement
On July 16, 2009, Fidelity Southern Corporation ("Fidelity") was notified by
director Robert J. Rutland that he would retire effective immediately for
personal reasons and not the result of any disagreement with Fidelity.
Mr. Rutland has been a director since 1979. Simultaneously with his retirement,
Mr. Rutland was elected Director Emeritus of Fidelity.
