Appointment of Certain Officers; Compensatory Arrangements of Certain Officers On July 14, 2009, the Board of Directors (the "Board") of Century Bancorp, Inc. (the "Company") adopted certain changes to the Company's Supplemental Executive Retirement and Insurance Plan (the "Plan"). The Board voted to incorporate amendments necessary to clarify the timing, calculation and payment of benefits upon death of a participant. The amendments to the Plan were adopted effective as of May 12, 2009.
