Item 8.01. Other Events.

On July 16, 2009, Ameriprise Financial, Inc. (the "Company") announced an amendment to its previously announced cash tender offer for its outstanding 5.35% Senior Notes due November 15, 2010 (the "Notes"). The Company is increasing the maximum amount of the offer to purchase the Notes to $450 million from the original amount of $250 million. All other terms of the tender offer are unchanged. A copy of a press release dated July 16, 2009 related to the amendment to the tender offer is filed with this Current Report as Exhibit 99.1.
