(b) On July 10, 2009, Timothy J. Roemer, a member of the Board of
Directors (the "Board") of Oshkosh Corporation (the "Company"), advised the
Company of his intention to resign as a member of the Board effective as of July
15, 2009 as a result of his nomination by President Obama as the United States
Ambassador to India. The U.S. Senate confirmed the nomination of Ambassador
Roemer on July 10, 2009.
