(b) On July 9, 2009, David W. Tauber notified The Meridian Resource Corporation
(the "Company") that he was resigning, effective immediately, from the Board of
Directors of the Company. His decision to resign was not the result of any
disagreement with the Company on any matter relating to the Company's
operations, policies or practices, rather a response to the increased time
commitments from his business dealings.
