(b) Cheryl Clary, Senior Vice President, Finance, and former Chief Financial
Officer of the Company, resigned on July 3, 2009.
(e) The Company and Cheryl Clary entered into a Separation Agreement and Release
of Claims by which the Company agrees to pay to Clary a severance payment
equivalent to one year's base salary, to be paid during the period July 3, 2009
through July 2, 2010.
