Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective July 4, 2009, the shareholder owning more than two-thirds of the issued and outstanding shares of common stock of TXP Corporation (the "Company") consented to the removal of Ms. Marcia Allen as a director of the Company. There was no disagreement or dispute between Ms. Allen and the Company which led to her removal.

In addition, effective July 5, 2009, the Board of Directors of the Company consented to the removal of Ms. Allen and Mr. John Eger as the Company's Co-Chief Restructuring Officers.
