Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As part of Mercury Computer Systems, Inc.'s reorganization of part of its business operations, Mercury is eliminating the position of Vice President, Controller. Karl D. Noone, currently the Vice President, Controller, will continue in that position until the close of business on September 4, 2009. Mr. Noone is currently designated as Mercury's principal accounting officer.

Robert E. Hult, Mercury's Senior Vice President, Chief Financial Officer, and Treasurer, will add the position of principal accounting officer to his responsibilities effective September 5, 2009.
