ITEM 8.01 OTHER EVENTS.
On July 3, 2009, we completed a transaction whereby we contributed substantially all of our operations in the Caribbean (with the exception of the Bahamas) to The Central America Bottling Corporation ("CABCORP") in exchange for the issuance to us by CABCORP of shares in CABCORP equal to eighteen percent (18%) of the issued and outstanding voting common stock of CABCORP.
We also issued a press release regarding such transaction on July 6, 2009, which is attached hereto as Exhibit 99 and incorporated by reference to this Item 8.01.
