Item 8.01 Other Events.

On July 2, 2009, the Registrant announced a reduction in its quarterly cash dividend to $0.10 per common share, payable on July 31, 2009 to all shareholders of record on July 17, 2009. The Registrant also announced that it has filed a universal shelf registration statement with the Securities and Exchange Commission. A copy of the press release is attached as Exhibit 99.1 to this report and is incorporated by reference into this Item 8.01.
