(d) On July 1, 2009, Hewitt Associates, Inc. (the "Company") announced that Judson Green had been appointed to its Board, effective July 1, as a Class II Director for a term expiring at the Company's 2010 annual meeting of stockholders. Mr. Green will serve as a member of the Audit Committee.

In fiscal 2009, for his services as a director, Mr. Green will receive a prorated portion of the annual retainer, such prorated portion in the amount of
(i) $37,500 paid in cash and (ii) an equity grant of $40,000 paid in restricted stock units with a one year vesting restriction.
