(b) On June 26, 2009, Peter M. Lieb resigned from his position as Senior Vice
President, General Counsel and Secretary of NCR Corporation (the "Company"),
effective July 15, 2009, to accept a position as Executive Vice President and
General Counsel of Aon Corporation. Mr. Lieb was a named executive officer of
the Company for the fiscal year ending December 31, 2008.
