Item 8.01 Other Events.

On June 29, 2009, The First American Corporation (the "Company") issued a press release announcing its proposal to acquire the issued and outstanding common stock of its publicly traded subsidiary, First Advantage Corporation ("First Advantage"). The proposal was communicated by the Company on June 26, 2009 to the board of directors of First Advantage. The press release announcing the proposal is attached as Exhibit 99.1 to this report and is incorporated by reference herein.
