Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 22, 2009, Jack A. Hockema notified Clearwater Paper Corporation (the
"Company") of his decision to resign as a director of the Company effective
June 30, 2009. Mr. Hockema's resignation is not a result of any disagreement
with the Company on any matter relating to the Company's operations, policies or
practices. The Board of Directors of the Company is expected to take action to
reduce the size of the Board from seven to six directors.
