Item 5.03 Amendment to Articles of Incorporation

On June 25, 2009 Advanced Battery Technologies filed a Certificate of Amendment of its Certificate of Incorporation. The amendment increased the authorized common stock from 60 million shares to 150 million shares. The amendment was approved by the shareholders at the Annual Meeting of Shareholders on June 25, 2009.
