Results of Operations and Financial Condition, Change in D
On June 25, 2009, SMART Modular Technologies (WWH), Inc. (the "Company") issued a press release announcing its results of operations for its third quarter of fiscal 2009, ended May 29, 2009. A copy of the press release is attached as Exhibit 99 to this report.
Effective June 23, 2009, Dipanjan Deb resigned as a director of the Company to devote more time as Managing Partner of Francisco Partners, which he is a Founding Partner. Mr. Deb's resignation was not related to any disagreement with the Company regarding its operations, policies or practices.
The Nominating and Corporate Governance Committee of the Board of Directors has initiated a search to fill the vacancy created by Mr. Deb's departure. Once this vacancy is filled, the nine-member Board of Directors will be comprised of six independent directors.
