Item 8.01 Other Events

On June 17, 2009, IDT Corporation (the "Registrant") announced that its subsidiaries IDT Telecom, Inc. and IDT Domestic Telecom, Inc., entered into a purchase agreement with UTCG Holdings, LLC ("UTCG") and Carlos Gomez to purchase UTCG's forty nine percent (49%) interest in Union Telecard Alliance, LLC ("UTA"). On June 24, 2009, the Registrant announced that it had closed this previously disclosed purchase.

In connection therewith, the Registrant issued a press release, a copy of which is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
