Item 5.02. Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 18, 2009, Ms. Ling Wang submitted her resignation as a director of New
Dragon Asia Corp. (the "Company") to the Board of Directors effective on such
date. In conjunction with the resignation of Ms. Wang, the Board of Directors
will decrease its size from seven members to six members. There were no
disagreements between Ms. Wang and the Company on any matter relating to the
Company's operations, practices or policies that resulted in her
resignation. Ms. Wang will continue to serve as Chief Financial Officer of the
Company.
