On June 17, 2009, the Board of Directors of Integra Bank Corporation ("the Company") approved an amendment to the Company's By-Laws to opt out of the mandatory provision under the Indiana Business Corporation Law requiring a classified board of directors with one-third of its members elected each year to a three-year term of office.
