ITEM 8.01 Other Events.
On June 15, 2009, iStar Financial Inc. (the "Company") entered into a settlement
agreement with its landlord regarding a long-term lease for headquarters space
dated May 22, 2007 (as amended and restated, the "Lease").
Under the settlement, the Company agreed to pay the landlord an approximately
$42 million dollar settlement payment (the "Settlement Payment") over a period
of 6 months in order to settle all disputes between the Company and the landlord
relating to the Lease and the landlord agreed, among other things, to terminate
the Lease. The Company expects to record the Settlement Payment in its
financial statements for the quarter ending June 30, 2009.
