On June 19, 2009, Lawrence B. Prior was elected to the Company's Board of
Directors. As previously announced by the Company, Mr. Prior will also serve as
the President and Chief Operating Officer of ManTech International Corporation
beginning in July 2009. Because Mr. Prior will be an employee director, he will
not receive any compensation for his services as a member of the Board of
Directors.
