Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 12, 2009, Lt. General (ret.) Martin R. Berndt resigned from his positions on the Board of Directors of Point Blank Solutions, Inc. (the "Company") and the committees thereof, subject to his receipt of his outstanding director compensation.

On June 17, 2009, Jennifer Coberly, the Company's General Counsel and Secretary, separated from the Company. In connection with her separation, Ms. Coberly agreed to accept a lump sum severance payment of $100,000 in lieu of any severance payments she may have been entitled to receive pursuant to her employment agreement with the Company dated April 7, 2008.
