Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 12, 2009, Marshall Turner's employment with MEMC Electronic Materials,
Inc. (the "Company") as Interim Senior Vice President of Business and Strategic
Development ended. As previously reported, Mr. Turner stepped down as interim
Chief Executive Officer on March 2, 2009 when Ahmad R. Chatila joined the
Company as President and Chief Executive Officer. At that time, Mr. Turner
continued his employment with the Company as Interim Senior Vice President of
Business and Strategic Development in order to assist during Mr. Chatila's
transition. Mr. Turner continues to serve as a director of the Company.
