Item 8.01 Other Events.

As part of the compensation arrangement for non-employee directors, effective June 15, 2009, the Compensation Committee awarded 1,000 shares of restricted common stock to each of the Company's non-employee directors. The awards will vest in equal annual installments upon each of the three annual meetings of the Company's shareholders following the date of the awards and are subject to other terms and conditions of the Restricted Stock Award Agreement and the Company's 2001 Stock Incentive Plan. A copy of the form of Restricted Stock Award Agreement is attached hereto as Exhibit 10.1 and incorporated herein by reference.
