(b) On June 10, 2009, Karl von der Heyden ceased to be a director of DreamWorks Animation SKG, Inc. (the "Company"). As the Company previously disclosed in its Current Report on Form 8-K dated February 17, 2009, Mr. von der Heyden had previously informed the Company that he did not intend to stand for re-election at the Company's 2009 Annual Meeting of Stockholders (the "Annual Meeting") held on June 10, 2009.

(e) On June 10, 2009 at the Annual Meeting, the Company's stockholders approved the Amended and Restated 2008 Omnibus Incentive Compensation Plan (the "Amended Plan"). The Company's Board of Directors had previously adopted the Amended Plan, subject to stockholder approval. For a description of the Amended Plan, see the Company's definitive Proxy Statement on Schedule 14A, filed with the Securities and Exchange Commission on April 30, 2009. A copy of the Amended Plan was attached as Annex A to the Proxy Statement.
