Item 8.01 Other Events.

On June 12, 2009, Alaska Communications Systems Group, Inc. adjourned its 2009 Annual Meeting without taking action on Proposals 1-5 as detailed in the Company's Notice of 2009 Annual Meeting and Proxy Statement. The Company adjourned in order to provide its shareholders with additional explanatory information regarding certain of the proposals and to file an amended Proxy Statement 14A. The press release regarding this matter is attached hereto as Exhibit 9.01(d); incorporated herein by reference.
