On June 7, 2009, Mark D. Nichols resigned as President and CEO of our subsidiary, Organic Growing Systems, Inc to pursue other interests. To the knowledge of the Board and executive officers of the Company, Mr. Nichols had no disagreement with the Company on any matter related to the Company's operations, policies or practices.
