On June 11, 2009, Altera Corporation issued a press release announcing the resignation, effective June 12, 2009, of Timothy R. Morse, senior vice president and Chief Financial Officer. A copy of the press release is attached to this report as Exhibit 99.1 and is incorporated herein by reference.

(c) Appointment of Certain Officers.

On June 11, 2009, Altera Corporation issued a press release announcing that, effective June 12, 2009, James Callas, vice-president finance and corporate controller, will serve as acting chief financial officer. Mr. Callas has been employed by Altera for over 20 years and has served in a variety of finance roles during his career.
