Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On and effective June 4, 2009, the Board of Directors of Key Energy Services, Inc. (the "Company") amended the Company's bylaws to allow the Board of Directors to appoint, from among its members, committees composed of one or more directors. This amendment changes the number of members who can serve on a committee from two or more directors to one or more directors.
A copy of the Amendment to the Second Amended and Restated By-laws of Key Energy Services, Inc. adopted June 4, 2009 is attached to this Current Report on Form 8-K as Exhibit 3.1 and is hereby incorporated by reference. Item 9.01. Financial Statements and Exhibits
