Item 1.01. Entry into a Material Definitive Agreement.
On June 3, 2009, ACE INA Holdings Inc. agreed to sell in a public offering $500 million of 5.90% Senior Notes due 2019. The notes will be fully and unconditionally guaranteed by ACE Limited.
