Entry into a Material Definitive Agreement


ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

On June 1, 2009, the Registrant renewed its supply agreement with Accellent Inc. for the procurement of inventory and the manufacturing of its Essure device (the "Agreement"). The term of the Agreement commences on June 1, 2009, with an expiration date of May 31, 2012.
