Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 29, 2009, Bradley M. Stevens, President and Chief Executive Officer of
the Chicago Region and a director of Integra Bank Corporation (the "Company")
notified the Company that he is retiring as an executive officer effective June
30, 2009. The Company expects that the functions previously performed by Mr.
Stevens will be performed by the Company's other officers. On June 1, 2009, Mr.
Stevens notified the Company's Board of Directors that he is retiring from the
Board effective immediately. Mr. Stevens served as a director since 2007.
