Item 8.01. Other Events.
On June 1, 2009, Compuware Corporation (the "Company") announced that it had
completed the sale of the assets of the Company's Quality and DevPartner product
lines pursuant to the Asset Purchase Agreement with Micro Focus Holdings Limited
entered into on May 5, 2009. With the completion of this $80 million
transaction, about 300 employees and certain intellectual property transitioned
to Micro Focus.
A copy of the press release issued by the Company announcing the completion of
the sale is attached as Exhibit 99.1 and is incorporated herein by reference.
