Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 27, 2009, James V. Napier, having attained the board retirement age specified in the Corporate Governance Guidelines of McKesson Corporation (the "Company"), tendered his resignation from the Company's Board of Directors; and the Board, in view of such board retirement age, accepted Mr. Napier's resignation. The resignation will be effective as of the commencement of the Company's upcoming Annual Meeting of Stockholders to be held on July 22, 2009. Given that Mr. Napier's retirement, as reflected by the resignation, was in accordance with the Company's board retirement age, Mr. Napier confirmed that the resignation was not the result of any disagreement with the Company. Mr. Napier has been a director of the Company since 1999.
