Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 29, 2009, Scott H. Ray, the Executive Vice President and Chief Financial
Officer of United Online, Inc. (the "Company"), returned from his temporary
medical leave of absence and resumed his duties as the Company's Chief Financial
Officer. Neil P. Edwards, who served as the Company's Acting Chief Financial
Officer while Mr. Ray was on leave, continues to serve as the Company's Senior
Vice President, Finance, Treasurer and Chief Accounting Officer.
