(b) On May 28, 2009, Anat Bird, a director of the Registrant, resigned from
the Registrant's Board of Directors and from the Board of Directors of Sun
National Bank, the Registrant's wholly-owned subsidiary. The resignation was not
due to any disagreement with the Registrant on any matter relating to the
Registrant's operations, policies or practices.
