Terex Corporation (the "Company") issued a press release on May 27, 2009, announcing its intention to raise approximately $600,000,000 through the issuance of a combination of senior notes, senior subordinated convertible notes and Terex common stock. A copy of this press release is included as Exhibit 99.1 to this Form 8-K.

The Company also issued a press release on May 27, 2009, announcing that it has reached agreement on an amendment to its bank credit facility, with the effectiveness of the amendment being conditional on the successful completion of the capital markets transactions described above.
