On May 27, 2009, Patrick L. McCrory was elected to the Board of Directors of Kewaunee Scientific Corporation (the "Company"), as a Class III director with a term expiring in 2010, by a vote of the members of the Board of Directors. Mr. McCrory was also appointed to the Audit Committee and the Financial/Planning Committee of the Board of Directors. A copy of the Company's press release issued on May 27, 2009, relating to the foregoing, is filed as Exhibit 99.1 hereto and incorporated herein by reference.
On May 27, 2009, the Company amended Section 5.02 of the Bylaws of the Company to increase the number of directors on the Company's Board of Directors from eight (8) to nine (9). A copy of the Company's Bylaws, as amended, is filed as Exhibit 3 hereto and incorporated herein by reference.
