(e) On May 21, 2009, our stockholders approved an amendment to our 2005 Equity
Incentive Plan (the "Incentive Plan") to increase the number of shares of common
stock authorized for issuance under the Incentive Plan from 2,000,000 shares to
a total of 3,250,000 shares.
