Items 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of May 20, 2009, Bruce Labovitz, Chief Financial Officer of Comstock Homebuilding Companies, Inc. (the "Company") is no longer employed by the Company. Jeff Dauer, the Company's Chief Accounting Officer, will assume Mr. Labovitz's duties on an interim basis.

On May 27, 2009 the Company issued a press release announcing this management team change. A copy of this press release is attached hereto as Exhibit 99.1.
