ITEM 5.02. DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On May 20, 2009, Kristina Johnson resigned from our Board of Directors in connection with her confirmation as Under Secretary in the Department of Energy.

In addition, on May 22, 2009, Ursula M. Burns resigned from our Board of Directors in connection with her appointment as Chief Executive Officer of Xerox Corporation.
