Item 8.01. Other Events.
On May 26, 2009, VeriSign, Inc. (the "Company"), certain of the Company's
subsidiaries and SecureWorks, Inc. (the "Buyer"), a Georgia corporation, entered
into an asset purchase agreement whereby the Buyer has agreed to acquire
substantially all of the assets of the Managed Security Services ("MSS")
business from the Company. The MSS business enables enterprises to effectively
monitor and manage their network security infrastructure, and was previously
part of the Company's Enterprise and Security Services disposal group.
The transaction is expected to close on June 30, 2009, subject to the
satisfaction of certain closing conditions.
