Item 8.01 Other Events.

On May 26, 2009, UDR, Inc. (the "Company"), issued a press release announcing that the Company's board of directors has set the annualized dividend for the Company's common stock for 2009 at $.72 per share, or $.18 per share for each quarter, beginning with the quarterly dividend for the second quarter of 2009. A copy of the press release is attached to this report as Exhibit 99.1 and is incorporated herein by reference.
