Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On May 20, 2009, Ralcorp Holdings, Inc. ("Ralcorp") announced that Charles G. Huber, Jr., will be promoted to President of Ralcorp Frozen Bakery Products, Ralcorp's frozen foods division. Mr. Huber is currently serving as General Counsel and Secretary for Ralcorp and has been in that role since October 2003. Mr Huber has worked in the legal department at Ralcorp and Ralston Purina Company, Ralcorp's former parent company, for over twenty years. Mr. Huber will retain his status as a Corporate Vice President of Ralcorp.

While Mr. Huber's successor is being selected, he will remain in his current position and Kevin Hunt, Co-Chief Executive Officer and President of Ralcorp Holdings, Inc. and Chief Executive Officer and President of Ralcorp Frozen Bakery Products, will continue serving as interim President of Ralcorp Frozen Bakery Products.
