Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 18, 2009, Mr. Ron Sommer submitted his resignation as a member of the
Board of Directors of Motorola, Inc. (the "Company") and its committees,
effective July 29, 2009, in light of his new position at Sistema. Mr. Sommer was
appointed the First Vice President and Head of the Telecommunications business
unit of Sistema, a diversified public financial corporation in Russia.
Mr. Sommer's decision is not a result of any disagreement with the Company.
