Item 8.01 Other Events.
On May 21, 2009 Independent Bank Corp. (the "Company") and the United States
Department of the Treasury (the "Treasury") agreed that $2,200,000 is the
current fair market value of the Warrant to buy 481,664 Shares of the Company's
common stock at a strike price of $24.34 per share that the Company issued to
the Treasury on January 9, 2009 (the "Warrant"). The Company anticipates that on
Wednesday, May 27, 2009 it will pay $2,200,000 to the Treasury to repurchase the
Warrant.
